1. Definitions

"PersonnnOS" or "PersonnnOS App": The AI operating system application (desktop/server/web) that orchestrates your AI agents, workflows, and models.

"Modelforge" or "PersonnnModels": The PersonnnOS system for training, hosting, and operating custom AI models on your own data.

"You/Your": The individual or entity using PersonnnOS.

"Personal Use": Use by students, job seekers, or early-stage entrepreneurs for learning, portfolio, experiments, or prototyping without generating revenue.

"Commercial Use": Use by a company or commercial entity where the software or models are used to serve clients, automate business tasks, generate sales, manage collections, or form part of a paid product/service.

"Outputs": Content, analysis, or results generated by PersonnnOS tools or AI models running on PersonnnOS.

2. PersonnnOS App License

The PersonnnOS App is the application (desktop/server/web) that orchestrates your agents, workflows, and AI models.

2.1 Subscription Required

Use of the PersonnnOS App—both personal and commercial—requires an active subscription:

  • Monthly: 99 USD/month
  • Annual: 999 USD/year

(unless you have a different plan, such as Workers 497/997 or another enterprise agreement)

We may offer limited-time free trial periods (for example, 7 or 14 days). After the trial period, you must activate a subscription to continue using the App.

2.2 What You Can Do With an Active Subscription

With an active subscription you can:

  • ✅ Use PersonnnOS for your personal or professional projects
  • ✅ Use it in your company for sales, collections, support, content, and automation
  • ✅ Connect channels and tools where you already work
  • ✅ Integrate and use local or remote models, including PersonnnModels

2.3 What You Cannot Do

You cannot:

  • ❌ Use the App without a valid subscription (outside of trial periods we may offer)
  • ❌ Share an individual subscription among multiple users not covered by the plan
  • ❌ Resell the PersonnnOS App as an independent product without an agreement with us
  • ❌ Attempt to bypass activation mechanisms, usage limits, or billing

3. Modelforge / PersonnnModels

"Modelforge" (or "PersonnnModels") is the PersonnnOS system for training, hosting, and operating custom AI models on your own data.

3.1 Personal Use (FREE)

You can use Modelforge to train and use models for free when:

  • You are a student, job seeker, or early-stage entrepreneur
  • The model is used only for personal purposes, learning, portfolio, or experiments without billing clients
  • There is no company or commercial entity behind it using the model to generate direct or indirect revenue

In this mode:

  • ✅ Train models with your data
  • ✅ Use them in PersonnnOS to practice, build examples, showcase your work, or prototype
  • ✅ We may limit training/inference quotas (quotas are described on the website or in your dashboard)

3.2 Commercial Use (MODEL LICENSE REQUIRED)

If you meet ALL of these conditions:

  • You have a company or commercial activity, AND
  • You train a model in Modelforge, AND
  • That model is used to serve clients, automate business tasks, generate sales, manage collections, or form part of a paid product/service,

then that model requires an additional commercial license.

"I have a company → I trained a model in Modelforge → I use it in production → I need a model license."

The model license may be:

  • A fixed fee per model
  • A usage plan (per inference/credits)
  • Or an enterprise agreement

as detailed on our pricing page or in your specific contract.

3.3 What You Cannot Do

You are not authorized to:

  • ❌ Use a model trained in Modelforge in a business context without the corresponding model license
  • ❌ Resell the raw model (weights) without a specific agreement with us
  • ❌ Rebrand PersonnnModels as your own infrastructure without respecting these terms

3.4 Base Model Licenses

If the base model used in Modelforge (for example Llama, Gemma, etc.) has usage restrictions, you are responsible for:

  • Verifying that your use case is permitted by that base model's license
  • Not using Modelforge to create or exploit models in ways prohibited by the original license

4. What Is Free Today

We may offer limited free access to:

  • Web demos of PersonnnOS
  • Personal training and testing of models in Modelforge
  • Promotional credits

These free benefits do not imply a free license for the complete PersonnnOS App or commercial use of models.

5. Attribution & Branding

5.1 Attribution (Optional but Appreciated)

While not required, attribution helps support the project:

Suggested attribution:

  • "Powered by PersonnnOS" in documentation
  • Link to https://personnn.com/os in project READMEs
  • Mention in acknowledgments or credits

5.2 Trademark Usage

You may:

  • ✅ State "Built with PersonnnOS"
  • ✅ Use PersonnnOS logos with attribution
  • ✅ Reference PersonnnOS in marketing materials

You may NOT:

  • ❌ Imply official endorsement without permission
  • ❌ Use confusingly similar branding
  • ❌ Register PersonnnOS-related trademarks

6. Acceptable Use Policy

6.1 Prohibited Uses

PersonnnOS may NOT be used for:

  • ❌ Illegal activities or facilitating harm
  • ❌ Weapons development or military applications
  • ❌ Child exploitation (CSAM)
  • ❌ Non-consensual intimate imagery
  • ❌ Spam, malware, or phishing
  • ❌ Discrimination, hate speech, or harassment
  • ❌ Impersonation or identity fraud
  • ❌ Violation of third-party intellectual property

6.2 AI Model Responsibility

You are responsible for:

  • Ensuring AI models comply with their licenses
  • Monitoring outputs for harmful content
  • Implementing appropriate safeguards
  • Complying with local AI regulations

7. Privacy & Data Processing

7.1 Local-First Architecture

100% Local Processing:

  • ✅ Most workflows run entirely on your machine
  • ✅ When you use our infrastructure, it is clearly indicated and billed
  • ✅ Complete privacy and data sovereignty
  • ✅ GDPR/CCPA compliant by design

8. Technical Dependencies

8.1 Third-Party Components

PersonnnOS includes dependencies with their own licenses:

  • Python (PSF License)
  • FastAPI (MIT)
  • Typer (MIT)
  • Rich (MIT)
  • Uvicorn (BSD)
  • HTTPX (BSD)
  • Pydantic (MIT)

8.2 Optional Dependencies

Additional tools may require:

  • FFmpeg (LGPL/GPL - for video processing)
  • Whisper (MIT - for audio transcription)
  • OpenCV (Apache 2.0 - for image processing)

You are responsible for compliance with all dependencies used.

9. Warranty & Liability

9.1 No Warranty

PersonnnOS is provided "AS IS" without warranty:

  • No guarantee of performance or reliability
  • No guarantee of fitness for particular purpose
  • No guarantee of security or safety

9.2 Limitation of Liability

We are NOT liable for:

  • Any damages arising from use of PersonnnOS
  • AI model outputs or their consequences
  • Data loss or system failures
  • Third-party model license violations
  • Compliance with local AI regulations

9.3 Your Responsibility

You are responsible for:

  • Testing PersonnnOS in your environment
  • Ensuring compliance with applicable laws
  • Monitoring AI outputs for accuracy and safety
  • Implementing appropriate security measures

13. Termination

13.1 License Termination

This license automatically terminates if you:

  • Violate the Acceptable Use Policy
  • Use PersonnnOS for prohibited purposes
  • Fail to maintain an active subscription (for App use)

13.2 Effect of Termination

Upon termination:

  • You must cease using PersonnnOS
  • No obligation to delete already-processed data
  • Attribution requirements survive termination

14. Governing Law

This license is governed by Delaware law, United States.

Disputes resolved through:

  1. Good faith negotiation (30 days)
  2. Mediation (if needed)
  3. Arbitration in Delaware (final resort)
